TrueLean Terms of Use & End User License Agreement

These Terms of Use and End User License Agreement ("Terms") are a legal agreement between you ("you") and Zaden Connell ("Zaden Connell," "we," "us"), an individual sole proprietor, governing your use of the TrueLean mobile application and any related software, updates, and services (together, the "App").

By downloading, installing, or using the App, you agree to these Terms, to our Privacy Policy, and to our Safety, Disclaimer & Assumption of Risk, which are incorporated here by reference. If you do not agree, do not use the App.

1. License

Subject to these Terms, Zaden Connell grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the App on Apple-branded devices that you own or control, solely for your personal, non-commercial use, as permitted by the Apple Media Services Terms and Conditions ("Usage Rules"). This license is a license, not a sale; Zaden Connell and its licensors retain all rights not expressly granted.

2. Restrictions

You agree not to, and not to permit anyone else to: (a) copy, modify, or create derivative works of the App; (b) reverse engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law; (c) rent, lease, lend, sell, redistribute, or sublicense the App; (d) remove or alter any proprietary notices; or (e) use the App in any unlawful manner or in violation of these Terms.

3. Safety acknowledgment

The App relates to the operation of a motorcycle, an inherently dangerous activity. You acknowledge that you have read and agree to the Safety, Disclaimer & Assumption of Risk, including that the App is not a safety device, its readings are estimates and may be inaccurate, you must never interact with the App while riding, and you must never use the App to chase records or push limits on public roads. You assume all risks of motorcycling and of your use of the App.

4. Privacy

The App is designed to keep your ride data on your device. Our handling of information is described in the Privacy Policy.

5. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ZADEN CONNELL AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. ZADEN CONNELL DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY READING, MEASURE, OR ESTIMATE IT PRODUCES IS ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZADEN CONNELL OR ITS AFFILIATES OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOST PROFITS, OR LOST DATA, ARISING OUT OF OR RELATED TO THE APP OR YOUR OPERATION OF A MOTORCYCLE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ZADEN CONNELL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, ZADEN CONNELL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (b) FIVE U.S. DOLLARS ($5.00). Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you.

7. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Zaden Connell and its affiliates and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use or misuse of the App, (b) your operation of a motorcycle, or (c) your violation of these Terms or of any law or the rights of a third party.

8. Apple-specific terms

These Terms are between you and Zaden Connell only, not with Apple. Apple is not responsible for the App or its content. You and Zaden Connell acknowledge that:

• Scope. Your license to the App is limited to use on Apple-branded products you own or control and as permitted by the Usage Rules.
• Maintenance and support. Zaden Connell, not Apple, is solely responsible for any maintenance and support services for the App. Apple has no obligation to furnish any maintenance or support.
• Warranty. Zaden Connell is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are Zaden Connell's responsibility.
• Product claims. Zaden Connell, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims under consumer-protection or similar law.
• Intellectual property. In the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, Zaden Connell, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Developer contact. Questions, complaints, or claims about the App should be directed to Zaden Connell at support@truelean.app.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

9. Termination

These Terms apply until terminated by you or Zaden Connell. Your rights under these Terms end automatically if you fail to comply with them. Upon termination you must stop using the App and delete it. Sections that by their nature should survive termination (including Sections 5–7 and 10) will survive.

10. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, except that the foregoing does not limit any mandatory consumer-protection rights you may have under the law of your place of residence. You agree that any dispute not subject to such mandatory rules will be brought exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by a new "Last updated" date, and continued use of the App after an update constitutes acceptance of the revised Terms.

12. Entire agreement

These Terms, together with the Privacy Policy and the Safety, Disclaimer & Assumption of Risk, are the entire agreement between you and Zaden Connell regarding the App and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full effect.
